LAWS1026: Contracts

Contract law provides the legal framework for concluding transactions involving the supply of goods and services, as well as the primary means by which property ownership is transferred between individuals. Contract law significantly impacts all community members, making a thorough understanding essential for practising lawyers. Consequently, contract law serves as foundational knowledge for numerous other units within the law curriculum. This unit examines the rules governing the creation, terms, performance, breach, and discharge of contracts, including remedies and factors that may vitiate a contract, such as misrepresentation. The primary aim of the unit is to impart an understanding of key contract law principles and their practical application in problem-solving. Students will develop skills in rules-based reasoning, case law analysis, and the application of relevant statutes. Additionally, the unit aims to equip students with the tools to critically evaluate and make normative assessments regarding the operation of contract law in context. Successful completion of this unit is a prerequisite for the elective unit Advanced Contracts.

Early feedback task

This unit includes an early feedback task, designed to give you feedback prior to the census date for this unit. Details are provided in the Canvas site and your result will be recorded in your Marks page. It is important that you actively engage with this task so that the University can support you to be successful in this unit.

Assessment summary

Early Feedback Task (0%): As part of our commitment to student success, this unit includes a required Early Feedback Task. This task is designed to provide students with timely insights into their understanding and engagement with the unit content. It serves as a diagnostic tool to identify areas of strength and areas needing improvement, ensuring that each student is on track for successful completion of the unit. The Early Feedback Task in this unit is a short quiz tailored to reflect key content covered up to and including week 3 of the unit. You will have multiple attempts to complete the task. The task will be available on Canvas from 9.00AM Friday 22 August 2025 (Sydney Australia time) and must be completed by 11.59PM Sunday 24 August 2025 (Sydney Australia time). 

 

Structured class participation (20%): Students will be assigned to be 'on call' for two separate panels on specific problem sets. Lecturers will make these panel allocations prior to the first seminar and will post the allocations on Canvas. The final mark for this assessment will be based on the highest mark out of the two marks received for each panel. Students who are unable to attend one of their assigned on-call panels will receive a final mark based on the other assigned panel. Students who are unable to attend both of their assigned on-call panels and obtain special consideration will be given an alternative or varied assessment task, with the format to be determined by the unit coordinator.

 

In-semester test (30%): The in-semester test will be a ‘Bring your own device (BYOD)’ exam, on campus supervised. It will be open book (hard copy/printed materials only). It will be 1 hour in duration with an additional 15 minutes reading time. It will take place Wednesday 10 September 2024 at 2pm Sydney Australia time. The material and topics covered in weeks 1 through 5 (inclusive) are examinable.

 

Final exam (50%): The final exam will be a ‘pen and paper’ supervised on campus exam. It will be open book (hard copy/printed materials only, no electronic devices). It will be 2 hours in duration with an additional 30 minutes reading time. It will take place in the formal exam period. All of the material and topics covered in the unit are examinable.

 

Note: As the final exam will cover all the material studied in the unit, the ‘better mark’ principle will apply. This means that if a student performs better on the final exam than on the in-semester test, only the final exam mark will be used to calculate the student's overall mark and grade.

 

Special consideration: Successful grants of Special Consideration may involve alternative tasks, as appropriate.

 

Assessment requirements to pass a unit of study: A student must make a genuine attempt at all assessment tasks set out in this Unit of Study in order to obtain a Pass mark and grade (or above); otherwise an Absent Fail grade will be recorded as the student’s result for this Unit of Study.

Late submission

In accordance with University policy, these penalties apply when written work is submitted after 11:59pm on the due date:

  • Deduction of 5% of the maximum mark for each calendar day after the due date.
  • After ten calendar days late, a mark of zero will be awarded.

Simple extensions

If you encounter a problem submitting your work on time, you may be able to apply for an extension of five calendar days through a simple extension.  The application process will be different depending on the type of assessment and extensions cannot be granted for some assessment types like exams.

Special consideration

If exceptional circumstances mean you can’t complete an assessment, you need consideration for a longer period of time, or if you have essential commitments which impact your performance in an assessment, you may be eligible for special consideration or special arrangements.

Special consideration applications will not be affected by a simple extension application.

Attendance and class requirements

Attendance: All students are required to attend 70% of classes to satisfy the pass requirements for this unit. Failure to meet this requirement will result in an Absent Fail grade being recorded as the student’s result for this unit (see The University of Sydney Law School Resolutions: Coursework Awards cl 11).

Study commitment

Typically, there is a minimum expectation of 1.5-2 hours of student effort per week per credit point for units of study offered over a full semester. For a 6 credit point unit, this equates to roughly 120-150 hours of student effort in total.

Required readings

There are two casebooks recommended for the unit of study, and it is expected that you will have at least one of them. Most of the readings are extracted from these casebooks:

•             Andrew Robertson and Jeannie Paterson, Contract: Cases and Materials (Thomson Reuters, 15th ed, 2025)

•             John Carter, Cases and Materials on Contract Law in Australia (JW Carter Publishing, 8th ed, 2023)
