Chaired by the Chancellor, the University of Sydney Senate oversees all major decisions concerning the conduct of the University. It is responsible for staff appointments and welfare, student welfare and discipline, financial matters and the physical and academic development of the University. It also awards all degrees and diplomas and is responsible to the Parliament of NSW.

About the Senate

  • Appointing the Vice-Chancellor as the principal executive officer of the University, and monitoring their performance
  • Approving the mission and strategic direction of the University, as well as the annual budget and business plan
  • Overseeing and reviewing the management of the University and its performance
  • Establishing policy and procedural principles, consistent with legal requirements and community expectations
  • Approving and monitoring systems of control and accountability, including general overview of any controlled entities
  • Overseeing and monitoring the assessment and management of risk across the University, including commercial undertakings
  • Overseeing and monitoring the academic activities of the University

The constitution of the Senate is set out in Division 1 of the University of Sydney Act 1989, and Senate is currently comprised of:

  • official members;
  • elected members;
  • Senate appointed members; and
  • Ministerially appointed members.

As per Part 5 of the University of Sydney (Amendment Act) Rule 1999, Senate will convene six to eight times per year.

A non-financial annual report is prepared by Senate each year, in line with the University's reporting requirements under New South Wales (NSW) legislation. 

The University provides our annual report by the end of April each year to the NSW Government and it is then tabled in both houses of NSW Government by the responsible minister.

Purpose

The role of the Senate Finance Committee (“Committee”) is to monitor and support Senate on:

a) the University’s:

(i)       financial standing;

(ii)      financial performance;

(iii)     financial management; and

(iv)     investment strategy;

b) the financial sustainability of the University, including by reviewing and evaluating the financial impact of:

(i)       strategic proposals and business cases (including risk assessment and benefits realisation);

(ii)      budget and planning priorities;

(iii)     resource and capital allocation; and

(iv)     commercial activities;

c) management of financial risks, including those associated with subsidiaries, controlled entities, research-related investments and other investments (including minority interests)

d) managing the University’s Future Fund, other investments, short-term portfolio, cash flow and liquidity positions

e) reviewing sustainability and Environmental, Social and Governance (ESG) disclosure obligations and external reporting; and

f) conducting reviews in the areas covered by the Committee’s Terms of Reference.

Purpose

The role of the Senate Finance Investment Subcommittee is to support the Senate Finance Committee in fulfilling its responsibilities for:

a) the University’s investments in the Long-Term Fund, the Medium-Term Fund and the Short-Term Fund, including:

Purpose

The role of the People, Culture and Safety Committee is to:

a) monitor and advise Senate on:

i.         the development of culture and leadership to enable a high-performing environment aligned with the University’s values and strategic objectives

ii.        implementation of policies, processes, and systems for workforce strategy, health, safety and wellbeing, relevant legislative requirements, and delivery of core HR services

iii.        risk management in areas covered by the Committee’s Terms of Reference, including legislative compliance

iv.       reviews in the areas covered by the Committee’s Terms of Reference or Delegations, including the need for any external advice.

v.        mechanisms for communicating with and listening to key stakeholders, including staff, students, unions, government, and Aboriginal and Torres Strait Islander people

b) advise Senate on the remuneration and terms of employment of the Vice-Chancellor

c) determine the remuneration and terms of employment of executive positions defined in the Executive and Senior Professional Staff Remuneration Policy and any non-executive direct reports to the Vice-Chancellor.
